Cosa occorre verificare prima di scegliere un’entità?
Entity selection should follow the commercial purpose, ownership, management location, income flows, financing, exit plan and the residence and reporting position of the owners. A low headline rate is not a sufficient design criterion.
La costituzione di una LLC statunitense ne determina automaticamente il trattamento fiscale?
No. U.S. federal classification depends on the number and type of owners and any elections made. The country of residence of the owner may classify the same LLC differently, creating hybrid-entity and foreign-tax-credit risks.
Quando una holding può beneficiare di un trattato?
Treaty access depends on residence, beneficial ownership, limitation-on-benefits or principal-purpose rules, economic substance and the facts surrounding each payment. Incorporation alone does not secure a reduced withholding rate.
Come incidono CFC, Form 5471 e GILTI sulla struttura?
For U.S. persons, foreign-company ownership can trigger Form 5471, Subpart F, GILTI and related reporting. The result depends on ownership percentages, entity classification, tested income, taxes paid and available elections.
Is Lussemburgo or the Paesi Bassi automatically more efficient?
No. The correct jurisdiction depends on functions, people, decision-making, assets, investors, treaty entitlement, anti-abuse rules and exit strategy. A vehicle without corresponding substance can increase risk rather than reduce tax.
